Hot Topics in Corporate Governance
Society members are facing many critical HOT ISSUES in Corporate Governance and this year's Conference Planning Committee led by Ann Mulé has organized excellent programs to address these challenges. As part of the educational program, unique opportunities for networking to share experiences and knowledge with your colleagues will be provided.
This year our Conference will again be preceded by free workshops on Wednesday, June 25. A networking luncheon for Small-Cap and Mid-Cap Companies is also scheduled.
The WEDNESDAY program includes:
- A pre-conference workshop on "Managing Stress" by Dr. Janet Taylor, Clinical Instructor of Psychiatry at Columbia University's Harlem Hospital and Founder of Mind Projects Inc.

On THURSDAY morning the Conference Committee has arranged an outstanding program:

SATURDAY morning finds us finishing up the Business Program with three outstanding panels:

- HOT ISSUES in Executive Compensation
We have allowed for numerous networking opportunities at this year's Conference, including our extended Opening Reception, daily continental breakfasts, refreshment breaks, Thursday's Annual Luncheon, Thursday's "Hot Caribbean Night at the Beach" for all registered attendees — including children, Friday's buffet luncheon in the Exhibit Hall and Saturday's Closing Reception and Dinner event. On Friday afternoon, following the breakout sessions, the Exhibitors will host a reception so you'll have one last opportunity to familiarize yourself with the products and services they have to offer as well as network with Society colleagues.
What makes this organization so special is its members — their dedication to the Society and their fellow members, their willingness to serve and to share knowledge. On Saturday we will recognize and honor Society leaders completing their terms of office, major contributors to the 2008 Conference Fund, significant sponsors of Conference events and services, and we will honor this year's recipient of the Bracebridge H. Young Distinguished Service Award. We look forward to seeing you this June at the Boca Raton Resort & Club. (A list of breakout sessions is included in the "Agenda & Program Highlights." WEDNESDAY, JUNE 25
PRE-CONFERENCE WORKSHOPS
"MANAGING STRESS" What is stress and how does it impact your daily life? Stress at home and work is a fact of life for the majority (79%) of men and women. Nearly half of all Americans believe their own stress levels have increased during the last five years. Over time stress can have a real impact on your health, your job performance, your relationships, and your quality of life. LLuminari® expert Dr. Janet Taylor, Clinical Instructor of Psychiatry at Columbia University's Harlem Hospital and Founder of Mind Projects, Inc., which specializes in corporate stress management, will lead this important workshop. Dr. Taylor's session will focus on the "Seven Tools for Stress Management" to help you reduce, avoid and gain control over the stress in your life.
This workshop is free of charge and open to all Conference registrants, including spouses and registered guests who wish to attend. Please let us know if you plan to attend this session by checking the appropriate box on the registration form.
"ETHICS, LAW AND CORPORATE GOVERNANCE" When you are in your role as a corporate officer how do you handle ethical issues? What kind of issues are ethical issues? What are your ethical responsibilities and how do they differ from and overlap with your legal responsibilities? In facing difficult issues what is the role of reason, emotion and imagination in resolving those issues? This important discussion will be led by Ronald F. Duska, PhD, Charles Lamont Post Chair of Ethics and the Professions, The American College, where he has held this Chair since 1996. Dr. Duska is the author, co-author, or editor of numerous books, including Contemporary Reflections on Business Ethics, published in 2007.
This three-hour workshop is free of charge for Conference registrants who wish to attend. The program will qualify for specialized ethics credits in most states. Please check off the box on the registration form if you plan to attend this session so that we have copies of printed materials available for all participants.
Many state bars and CLE boards regularly grant continuing legal education credits to conference attendees. Prior to the Conference the Society will apply to several states (including California, Colorado, Florida, Georgia, Indiana, Minnesota, Missouri, New York, Ohio, Oklahoma, Pennsylvania, Tennessee, Texas and Wisconsin) for CLE accreditation of the Ethics workshop and National Conference business sessions. Please be sure to list the state(s) from which you want CLE credit on your conference registration form.
Attendees must sign in for CLE credit on site at the Ethics program and conference registration desks — each of the programs will be reviewed and approved individually so be sure to have the documentation for each program you attend. However, please be advised that CLE approval notices are not always received prior to the conference.
The conference is also often eligible for CPA or paralegal credits, please check with your individual jurisdiction.
Conference attendees who are directors of public companies will boost the ISS Corporate Governance Quotient (CGQ) scores for the board(s) on which they serve.

The National Conference would not be complete without its ever popular Exhibit Hall. Under one roof we'll conveniently assemble many leading service providers in areas of proxy solicitation, executive compensation, financial printing, board communications, and more! Each year we are able to introduce you to a few new exhibiting companies and while there are many familiar names from year to year, their products are changed and updated. This is the perfect opportunity for you to check out that new product or service you've been thinking about. Remember to set aside time during the conference to visit the booths for some product demos and information. In addition to keeping up with new regulations and new job responsibilities, be sure to stay informed about the latest products and services which are available to help you out.

EDUCATIONAL PROGRAMS COMMITTEE & CHAPTER OFFICERS JOINT MEETING
While the Conference is a national event, it is also an opportunity for members of the Educational Programs Committee and Society chapter leaders to share ideas on a variety of topics including: programming, leadership development, financing, membership growth and involvement and the interrelationship between the Society's educational and chapter endeavors on both local and national levels. To this end, there will be a joint meeting of the Educational Programs Committee and Chapter Officers on Wednesday afternoon, June 25 from 4:45 pm - 6:00 pm, led by Grace B. Holmes, Chairman of the Educational Programs Committee. All members of the Committee as well as all current Chapter Officers attending the Conference are encouraged to attend this important meeting.
NATIONAL COMMITTEE MEETINGS
Once again, many of the Society's national committees will hold meetings at the Conference to begin planning for their 2008 - 09 initiatives. If you have signed up to serve on a national committee, here is your opportunity to get to work. Committee chairmen will send its members information about meeting dates, times and locations prior to the Conference.
